The distribution of goods and services is of great relevance in business practice, and its design is crucial to success. In the absence of legal regulations and relevant practice by the Swiss courts, there is considerable legal uncertainty regarding many aspects, especially with regard to the termination of so-called innominate distribution agreements.
After the introduction of innominate distribution agreements, i.e. of agreements that are not explicitly regulated by the Swiss Code of Obligations (CO), as a separate contract type, the authors Mario Strebel and Fabian Koch deal with specific aspects of the termination of such agreements in their article published in the Swiss online journal Jusletter. They explain how to avoid or at least reduce legal uncertainties by careful contract drafting.
